These Terms of Service (the "Terms") govern access to and use of the SourceLink website, platform, software, tools, and related services made available by SourceLink Technologies LLC, a Texas limited liability company ("SourceLink," "we," "us," or "our"). By accessing or using the Service, or by creating an account, you agree to these Terms. If you do not agree, do not access or use the Service.

1. ACCEPTANCE OF TERMS

1.1 Scope

The Service is a business-to-business technology platform designed to help buyers identify, evaluate, and communicate with manufacturers, fabricators, CNC shops, and other industrial suppliers. The Service may include supplier listings, profile pages, buyer inquiries, request-for-quote tools, communications features, subscription features, payment-related functionality, and other marketplace tools that SourceLink makes available from time to time.

1.2 Eligibility and Authority

You may use the Service only if you are at least eighteen years old, have the legal capacity to enter into a binding agreement, and, if you access or use the Service on behalf of a company or other entity, have authority to bind that entity to these Terms. The Service is intended for business and commercial use.

1.3 Additional Terms

Your use of certain features may be subject to additional terms, policies, or guidelines that SourceLink posts or presents to you. The Privacy Policy is incorporated into these Terms by reference. If you are a supplier, seller, or listing participant, SourceLink may require you to agree to a separate Marketplace Participation Agreement or other supplier-facing terms. If there is a conflict between these Terms and a supplier-specific agreement, the supplier-specific agreement will control as to the subject matter of that agreement.

1.4 Changes to the Terms

We may update these Terms from time to time. If we make material changes, we may provide notice by posting the revised Terms on the Service, by email, through your account, or by other reasonable means. The revised Terms will become effective on the stated effective date. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

1.5 Service Evolution

The Service, including individual features, tools, integrations, and content, is under active development and may be modified, limited, suspended, deprecated, or discontinued at any time without prior notice or liability. Access to any particular feature does not create a right to continued access to that feature.

2. DEFINITIONS

2.1 Defined Terms

As used in these Terms: "Buyer" means a user seeking information, quotes, products, services, or supplier relationships through the Service. "Supplier" means a user that creates or maintains a listing, profile, storefront, capability page, or other offering through the Service. "Listing" means a Supplier profile, capability description, certification record, image, portfolio item, posting, or other information made available through the Service. "User Content" means any information, data, text, images, files, communications, reviews, ratings, specifications, or other material that a user submits, uploads, posts, transmits, or otherwise makes available through the Service. "Payment Processor" means Stripe or any other third-party payment service provider that SourceLink uses in connection with the Service. "Privacy Policy" means SourceLink's privacy notice as posted and updated on the Service from time to time. "Marketplace Participation Agreement" means any supplier-facing participation, listing, or commercial agreement that SourceLink may require of Suppliers in addition to these Terms.

3. THE SERVICE AND SOURCELINK'S ROLE

3.1 Marketplace Technology Service

SourceLink provides a technology platform that enables Buyers and Suppliers to discover one another, exchange information, submit inquiries, request quotes, evaluate Listings, and use related marketplace features. SourceLink does not manufacture products, perform fabrication services, fulfill purchase orders, ship goods, warehouse products, or otherwise act as the provider of the goods or services offered by Suppliers unless SourceLink expressly states otherwise in a separate written agreement.

3.2 No Party to User Transactions

Any request for quote, quotation, purchase order, order, shipment, fabrication engagement, manufacturing relationship, services engagement, or other transaction or arrangement between users is solely between the applicable users. SourceLink is not a party to those arrangements and is not the seller, manufacturer, distributor, broker, freight forwarder, exporter, importer, warehouseman, insurer, or agent for any user solely by virtue of operating the Service. For the avoidance of doubt, SourceLink does not act as an escrow agent, payment intermediary, or financial institution in connection with any user transaction.

3.3 User Responsibility for Commercial Matters

Users are solely responsible for negotiating and documenting their own commercial terms, including scope, specifications, pricing, lead times, quality standards, shipping terms, customs matters, insurance, warranties, acceptance criteria, payment terms, refunds, and dispute resolution. SourceLink does not guarantee that any Listing is accurate, complete, current, lawful, available, or suitable for any purpose, and SourceLink does not guarantee that any Buyer or Supplier will perform, pay, deliver, or satisfy its obligations.

3.4 Verification and Trust Signals

SourceLink may offer badges, verification designations, profile signals, ranking features, review tools, or similar trust and discovery features. Any such designation is limited in scope, may depend on information supplied by users or third parties, and does not constitute a guarantee of identity, authority, capacity, quality, legality, compliance, creditworthiness, financial condition, safety, or performance. SourceLink may modify, suspend, or remove any trust signal at any time.

3.5 No Duty to Resolve User Commercial Disputes

If a dispute arises between users, SourceLink may take platform-level actions such as reviewing complaints, removing content, restricting features, preserving records, suspending accounts, or taking other steps to protect the Service, but SourceLink has no duty to investigate every dispute or to act as an arbitrator, mediator, escrow agent, collection agent, guarantor, or decision-maker with respect to commercial disputes between users.

4. ACCOUNTS AND ACCESS

4.1 Account Registration

You agree to provide accurate, current, and complete account and profile information and to keep that information updated. SourceLink may request additional information for account creation, verification, compliance, payment setup, fraud prevention, or risk review.

4.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must promptly notify SourceLink if you believe your account has been compromised or used without authorization.

4.3 Access Controls and Enforcement

SourceLink may limit, suspend, restrict, or terminate access to the Service, any Listing, any feature, or any account at any time if SourceLink believes, in good faith, that doing so is appropriate because of a violation of these Terms, suspected fraud, payment failure, security concerns, abuse, legal or regulatory risk, third-party processor requirements, or other conduct that may harm SourceLink, the Service, or other users.

5. LISTINGS, CONTENT, REVIEWS, AND COMMUNICATIONS

5.1 Responsibility for User Content

You are solely responsible for your User Content and for the consequences of submitting, posting, transmitting, displaying, or otherwise making it available through the Service. You represent and warrant that you have all rights, permissions, consents, and authority necessary to provide your User Content to the Service and to permit SourceLink and other users to use it as contemplated by these Terms and the features of the Service.

5.2 License to Operate the Service

As between you and SourceLink, you retain ownership of your User Content, subject to the rights you grant under these Terms and any supplier-specific agreement. You grant SourceLink a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, transmit, display, perform, distribute, and otherwise use your User Content as reasonably necessary to operate, maintain, improve, secure, support, and promote your Listing and presence on the Service. To the extent permitted by applicable law, you waive any moral rights or rights of attribution in your User Content in connection with SourceLink's exercise of the rights granted under this Section. SourceLink will not acquire ownership of your User Content solely because it is made available through the Service. Upon termination or deletion of your account, SourceLink's license to your User Content will terminate except to the extent SourceLink retains copies for legal compliance, dispute resolution, backup, archival, or operational purposes, or to the extent your User Content has been incorporated into aggregated, anonymized, or derived materials that SourceLink may retain and use without restriction.

5.3 Public Content and Sensitive Information

Certain User Content, including Listings, profile information, reviews, ratings, and similar marketplace content, may be visible to other users or to the public as part of the Service. You must not upload confidential, export-controlled, ITAR- or EAR-controlled, restricted, or otherwise sensitive information to any area of the Service. If SourceLink later offers features intended for non-public technical files or other restricted materials, your use of those features may be subject to additional rules or agreements.

5.4 Reviews, Ratings, and Feedback

The Service may allow users to submit reviews, ratings, testimonials, comments, or other feedback. You may submit only feedback that is truthful, based on your actual experience, and not misleading, deceptive, extortionate, retaliatory, defamatory, or otherwise unlawful. SourceLink may establish eligibility standards for reviews, including transaction-linked or account-based criteria, and may remove, delay, reject, or suppress any review or rating that SourceLink believes violates these Terms or could undermine the integrity of the Service. SourceLink does not guarantee that reviews, ratings, or rankings are complete, accurate, representative, or free from error or manipulation. SourceLink makes moderation decisions regarding reviews in its sole discretion and is not obligated to provide notice, explanation, or any right of appeal in connection with any such decision.

5.5 Moderation Rights

SourceLink may, but is not obligated to, monitor Listings, User Content, communications, and other activity on the Service. SourceLink may review, remove, disable, reformat, reject, decline to publish, de-index, or otherwise restrict any User Content or account activity at any time if SourceLink believes, in good faith, that doing so is appropriate to enforce these Terms, comply with law, respond to complaints, protect intellectual property or confidentiality interests, address abusive or deceptive practices, preserve trust in the Service, or protect users or the Service from harm.

6. ACCEPTABLE USE

6.1 General Restrictions

You may not use the Service or any User Content to: (a) violate any applicable law, regulation, court order, or third-party right; (b) commit fraud, misrepresentation, deception, or unfair business practices; (c) impersonate any person or entity or misstate your identity, affiliations, location, certifications, capabilities, or authority; (d) harass, threaten, abuse, defame, or discriminate against any person or entity; (e) upload or transmit malware, corrupted files, or harmful code; (f) interfere with, disrupt, or degrade the Service or the networks, servers, or systems used in connection with it; (g) scrape, crawl, harvest, index, copy, or collect data from the Service by automated means without SourceLink's prior written consent; (h) reverse engineer, decompile, or attempt to derive source code from the Service except to the limited extent prohibited by applicable law; or (i) bypass, disable, or circumvent security, rate limits, verification steps, access controls, fees, or other protective measures.

6.2 Marketplace-Specific Restrictions

You may not: (a) publish false or misleading Listings, profiles, certifications, performance claims, lead times, pricing, quality claims, or geographic information; (b) upload content you do not own or have no right to disclose, including confidential technical information, trade secrets, or third-party materials; (c) submit fake, coordinated, or manipulated reviews or ratings; (d) use the Service to solicit or distribute unlawful designs, restricted items, or transactions that would violate export controls, sanctions, the International Traffic in Arms Regulations (ITAR), the Export Administration Regulations (EAR), anti-corruption laws, or other applicable laws; or (e) use the Service in a way that could expose SourceLink or other users to legal, regulatory, security, or reputational harm.

6.3 Cooperation

You agree to cooperate reasonably with SourceLink in connection with complaints, abuse reports, payment disputes, fraud reviews, security investigations, intellectual property claims, export or sanctions screening, and other matters arising from your use of the Service. SourceLink will cooperate reasonably with you in connection with legitimate account and billing inquiries to the extent consistent with SourceLink's legal obligations, processor requirements, and platform-security practices.

7. FEES, SUBSCRIPTIONS, AND PAYMENT SERVICES

7.1 Paid Features

SourceLink may offer free features, paid subscriptions, premium listings, advertising opportunities, enhanced visibility tools, or other paid features. If you purchase a paid feature, you agree to pay the fees and charges presented at the time of purchase or otherwise agreed in writing. Unless otherwise stated, fees are non-refundable once charged.

7.2 Billing Authorization

If you purchase a subscription or other paid feature, you authorize SourceLink and its Payment Processor to charge your selected payment method for all amounts due, including recurring charges if your plan renews automatically. SourceLink may provide renewal reminders and will provide renewal notice where required by applicable law. You are responsible for keeping your billing information current and for all charges incurred through your account. SourceLink may notify you of a failed, reversed, or overdue payment and, if the issue is not resolved within five (5) business days of that notice, SourceLink may suspend, downgrade, or terminate the applicable paid features without further notice or liability.

7.3 Taxes

Fees do not include taxes unless expressly stated otherwise. You are responsible for all sales, use, value-added, withholding, and similar taxes associated with your purchase or use of the Service, other than taxes based on SourceLink's net income. SourceLink may collect tax information, issue tax reporting forms, or collect and remit taxes where SourceLink determines that doing so is required by law.

7.4 Payment Processors and Payment-Related Features

Payment processing and related services may be provided by one or more Payment Processors under their own terms and policies. SourceLink does not control those third-party services and is not responsible for their acts or omissions, except to the extent required by law. If the Service enables payment-related functionality between users, any such functionality is offered solely as part of the Service infrastructure and does not make SourceLink a party to the underlying transaction. Settlement, reversals, holds, reserves, delayed transfers, processor-driven requirements, chargebacks, or fraud controls may affect the availability or timing of any payment-related feature. SourceLink does not act as an escrow agent or escrow provider. Any hold, delay, reserve, or conditional release of funds effected through Payment Processor functionality does not constitute an escrow arrangement, and SourceLink does not assume the duties or liabilities of an escrow agent with respect to any funds or transaction.

7.5 Promotional Offers and Trials

SourceLink may offer promotional pricing, pilot access, or trial periods from time to time. SourceLink may modify or discontinue any promotional offer or trial at any time, subject to any specific terms stated for that offer or trial.

8. THIRD-PARTY SERVICES AND LINKS

8.1 Third-Party Services

The Service may rely on, integrate with, or link to third-party services, software, websites, hosting providers, analytics providers, identity tools, payment processors, communication tools, or other providers. SourceLink does not control third-party services and does not warrant or assume responsibility for them. Your use of any third-party service may be subject to separate terms and privacy practices of that third party.

8.2 Links and References

Any link to a third-party website, service, or resource is provided for convenience only and does not imply SourceLink's endorsement, sponsorship, or approval of that third party, its products, or its services.

9. INTELLECTUAL PROPERTY; FEEDBACK; NOTICE OF CLAIMS

9.1 SourceLink Intellectual Property

The Service, including its software, design, layout, selection and arrangement of content, trademarks, service marks, logos, branding, and other SourceLink materials, is owned by SourceLink or its licensors and is protected by intellectual property and other laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you.

9.2 Limited License to You

Subject to your compliance with these Terms, SourceLink grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for your internal business use in connection with the ordinary, intended functionality of the Service.

9.3 Feedback

If you provide comments, suggestions, ideas, feedback, or recommendations regarding the Service, SourceLink may use them without restriction or obligation to you, and without any payment, attribution, or accounting.

9.4 Intellectual Property Complaints

If you believe that any content on the Service infringes your copyright, trademark, or other intellectual property rights, you may send SourceLink a written notice with sufficient detail for SourceLink to evaluate the claim, including your contact information, a description of the claimed right, identification of the challenged material, the basis for your claim, and a statement that the information in your notice is accurate. SourceLink may remove or disable access to challenged material, request additional information, forward your notice to the affected user, or take other steps SourceLink considers appropriate. SourceLink may also terminate or restrict repeat infringers or repeat abusers of the Service. Notices may be sent to: SourceLink Technologies LLC, 5900 Balcones Drive #19241, Austin, Texas 78731, and support@sourcelinkapp.com.

A user whose content was removed or disabled as a result of mistake or misidentification may submit a written counter-notice to the address above containing: (a) the user's contact information; (b) identification of the removed material and its location on the Service prior to removal; (c) a statement under penalty of perjury that the user has a good-faith belief the material was removed due to mistake or misidentification; and (d) the user's consent to the jurisdiction of the federal district court for the district in which the user is located, or the Western District of Texas if the user is outside the United States. SourceLink may, but is not obligated to, restore removed content following receipt of a valid counter-notice, subject to any contrary legal direction received from the complaining party within fourteen (14) days.

10. PRIVACY

10.1 Privacy Policy

SourceLink's collection, use, disclosure, and processing of personal information are described in the Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that certain profile, Listing, review, and communication content may be visible to other users or to the public depending on the feature used and the settings applied.

10.2 Security

SourceLink implements reasonable administrative, technical, and organizational measures designed to protect the Service and account information. However, no system is completely secure. SourceLink does not warrant that the Service will be free from unauthorized access, disclosure, alteration, or destruction. You are responsible for maintaining the security of your account credentials and for promptly notifying SourceLink if you become aware of any unauthorized access or security incident affecting your account.

11. DISCLAIMERS

11.1 General Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOURCELINK DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

11.2 Marketplace Disclaimer

Without limiting the foregoing, SourceLink does not warrant that: (a) the Service will be uninterrupted, timely, secure, or error-free; (b) any Listing, profile, review, rating, or other User Content is accurate, complete, lawful, current, reliable, or suitable; (c) any Buyer or Supplier will be available, responsive, solvent, trustworthy, compliant, safe, or able to perform; (d) any transaction between users will be completed successfully or on any particular terms; or (e) use of the Service will result in leads, quotes, sales, revenue, business opportunities, or any other commercial outcome.

11.3 Third-Party and User Interactions

SourceLink is not responsible for the acts, omissions, products, services, content, communications, or conduct of any user or third party. Any dealings, communications, or transactions between you and any other user or third party are solely between you and that party.

11.4 No Professional, Engineering, or Compliance Advice

The Service may contain general marketplace information, content supplied by users, or other informational materials. SourceLink does not provide legal, engineering, design, regulatory, tax, customs, procurement, insurance, safety, export, or professional advice through the Service.

11.5 No Goods-Sale Warranties

SourceLink does not sell, manufacture, distribute, or fulfill goods or physical products through the Service. No provision of these Terms constitutes a warranty of any kind with respect to goods or products that may be offered, listed, or transacted between users. To the extent any implied warranty of merchantability, fitness for a particular purpose, or other goods-sale warranty would otherwise apply to SourceLink by virtue of operating the Service, SourceLink expressly disclaims any such warranty to the maximum extent permitted by law.

12. LIMITATION OF LIABILITY

12.1 Excluded Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOURCELINK AND ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, CONTRACTS, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF SOURCELINK AND ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND LICENSORS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO SOURCELINK UNDER THESE TERMS DURING THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) TWO HUNDRED U.S. DOLLARS ($200).

12.3 Basis of the Bargain

The disclaimers and limitations in these Terms are a fundamental part of the basis of the bargain between you and SourceLink. Some jurisdictions do not allow the exclusion or limitation of certain damages, so parts of this Section may not apply to you to the extent prohibited by law. Nothing in these Terms excludes or limits liability to the extent that applicable law prohibits such exclusion or limitation.

13. INDEMNIFICATION

13.1 User Indemnity

You will defend, indemnify, and hold harmless SourceLink and its affiliates, members, managers, officers, directors, employees, contractors, and licensors from and against any third-party claim, demand, action, proceeding, investigation, loss, liability, damage, judgment, settlement, cost, or expense, including reasonable attorneys' fees, arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your Listings, profiles, reviews, submissions, representations, products, services, or communications; (d) your violation of these Terms or any additional terms; (e) your violation of law or third-party rights; or (f) any dispute, transaction, or relationship between you and another user or third party. Supplier-specific insurance requirements, if any, will be set forth in the applicable Marketplace Participation Agreement.

13.2 Control of Defense

SourceLink may assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with SourceLink in asserting any available defenses. You may not settle any matter in a manner that imposes any admission, liability, or obligation on SourceLink without SourceLink's prior written consent.

14. TERMINATION AND SURVIVAL

14.1 Termination by You

You may stop using the Service at any time. If you have a paid subscription or other active arrangement with SourceLink, cancellation of your account will not by itself relieve you of payment obligations already incurred or override any agreed renewal or cancellation terms.

14.2 Termination by SourceLink

SourceLink may suspend or terminate your access to the Service, any account, any Listing, any paid feature, or any part of the Service at any time, with or without notice, if SourceLink believes, in good faith, that doing so is appropriate under Section 4.3 or otherwise necessary to protect SourceLink, the Service, users, or third parties.

14.3 Effect of Termination

Upon termination, your right to access and use the Service will cease except to the extent SourceLink expressly permits limited post-termination access. SourceLink may remove or disable User Content, Listings, reviews, profiles, or account information, subject to SourceLink's records, legal obligations, operational needs, and the Privacy Policy. Sections that by their nature should survive termination will survive, including Sections 3, 5, 7, 8, 9, 10, 11, 12, 13, 14.3, 15, 16, and 17.

15. GOVERNING LAW AND DISPUTE RESOLUTION

15.1 Governing Law

These Terms and any dispute, claim, or controversy arising out of or relating to the Service or these Terms will be governed by the laws of the State of Texas, without regard to conflict-of-laws principles.

15.2 Informal Resolution

Before commencing arbitration or court proceedings, the parties will first attempt in good faith to resolve any dispute informally. A party initiating a dispute must send written notice describing the dispute and the relief requested. The parties will have thirty (30) days after receipt of the notice to attempt to resolve the dispute informally.

15.3 Mediation

If the dispute has not been resolved within the thirty-day informal resolution period, either party may submit the dispute to non-binding mediation administered on a virtual basis by a mediator agreed by the parties or, if the parties cannot agree, appointed through the American Arbitration Association. The mediation will be conducted in English. Mediation proceedings and all submissions, communications, and materials exchanged in connection with the mediation will be kept confidential by the parties and the mediator, except as required by law or as necessary to enforce any resulting settlement.

15.4 Arbitration

If the dispute is not resolved through mediation within thirty (30) days after the mediation demand, the dispute will be finally resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be conducted in English by one arbitrator. The seat and place of arbitration will be Travis County, Texas. Judgment on the award may be entered in any court of competent jurisdiction. Unless otherwise required by law, all arbitration proceedings, submissions, awards, and related communications will be kept confidential by the parties and the arbitrator.

15.5 Court Relief for Certain Matters

Nothing in these Terms prevents either party from seeking temporary, preliminary, or permanent injunctive relief, or other equitable relief, in a state or federal court located in Travis County, Texas, for actual or threatened misuse of intellectual property, confidential information, security breaches, circumvention of access restrictions, or enforcement of this Section 15.

15.6 Individual Proceedings Only

To the maximum extent permitted by law, each party must bring claims against the other party only in an individual capacity and not as a plaintiff, claimant, or class member in any purported class, consolidated, representative, or collective proceeding.

16. NOTICES

16.1 Notices to SourceLink

Notices to SourceLink under these Terms must be sent to SourceLink Technologies LLC, 5900 Balcones Drive #19241, Austin, Texas 78731, with a copy to support@sourcelinkapp.com, unless SourceLink designates a different notice address on the Service.

16.2 Notices to You

You consent to receive notices and communications from SourceLink electronically, including by email, through your account, by posting on the Service, or through other reasonable electronic means. You are responsible for keeping your account and contact information current.

17. MISCELLANEOUS

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any additional terms or policies properly incorporated by reference, constitute the entire agreement between you and SourceLink regarding the Service and supersede prior or contemporaneous understandings relating to the Service, except for any separate written agreement between you and SourceLink that expressly governs specific subject matter. If SourceLink enters into a Marketplace Participation Agreement or other supplier-specific written agreement with you, that agreement will govern to the extent of any conflict with these Terms on subject matter addressed by that agreement.

17.2 Relationship of the Parties

Nothing in these Terms creates any partnership, joint venture, agency, fiduciary, employment, franchise, or similar relationship between you and SourceLink or between SourceLink and any other user.

17.3 Assignment

You may not assign or transfer these Terms or any rights or obligations under them without SourceLink's prior written consent. SourceLink may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, restructuring, financing, or sale of assets.

17.4 Waiver and Severability

No waiver of any provision of these Terms will be effective unless in writing and signed by the party against whom the waiver is asserted. If any provision of these Terms is held unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect. No course of conduct, course of dealing, or pattern of performance between the parties will modify or waive any provision of these Terms.

17.5 Force Majeure

SourceLink will not be liable for any delay, interruption, or failure to perform arising from causes beyond its reasonable control, including failures of hosting or network infrastructure, denial-of-service events, utility failures, labor disruptions, acts of government, natural disasters, public emergencies, or Payment Processor or third-party service outages.

17.6 Electronic Communications and Records

You agree that electronic signatures, electronic records, electronic notices, and electronic communications satisfy any legal requirement that communications be in writing.
